Welcome to DevCloudDesk ("we", "our", "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Service").
By creating an account, accessing the Service, installing an agent, connecting infrastructure, starting a trial, or purchasing a plan, you agree to these Terms. If you do not agree, please do not use the Service.
These Terms are written for commercial SaaS use and do not replace a separately signed agreement, if one exists. If a signed agreement conflicts with these Terms, the signed agreement controls for that customer.
1. Eligibility
You must be at least 18 years old to use this Service. If you use the Service for an organization, you confirm that you are authorized to bind that organization to these Terms.
2. Description of Service
DevCloudDesk provides tools for:
- Secure terminal access and infrastructure management
- Monitoring server performance and resources
- Managing services such as databases, web servers, and containers
- File management and secure terminal operations
- Optional agent-based server integration
We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.
3. Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate and complete information
- Keep your login credentials secure
- Be responsible for all activity under your account
You must immediately notify us if you suspect unauthorized use of your account.
4. User Responsibilities
You agree to use the Service responsibly and legally. You must not:
- Use the Service for illegal activities
- Attempt unauthorized access to systems or networks
- Distribute malware or harmful code
- Use the Service for phishing, spam, botnet activity, credential theft, or command-and-control behavior
- Use the Service, connected infrastructure, automations, alerts, support channels, webhooks, or scripts to send spam, harvested-list messages, unsolicited marketing, mailbombing traffic, or phishing content
- Use the Service as a proxy, anonymizer, public tunnel, spam relay, or bulk email system
- Interfere with the integrity or performance of the Service
You are fully responsible for:
- Your servers and infrastructure
- Access keys, passwords, and infrastructure credentials
- Any actions performed through your account
5. Server Access and Security
Our platform provides tools to access and manage your servers. However:
- We do not control or manage your servers directly
- You are solely responsible for securing your systems
- Misconfiguration or misuse may lead to security risks
We are not responsible for any data loss, breaches, or damages resulting from your server configurations.
6. Agent Software
Our Service may include optional agent software to enhance functionality.
By installing the agent:
- You authorize it to communicate with your servers
- You accept that it may open temporary or controlled access channels
- You remain responsible for monitoring and securing agent activity
We are not liable for issues arising from agent installation or misuse.
7. Acceptable Use and Abuse Controls
Your use of DevCloudDesk is subject to our Acceptable Use Policy. We may investigate, rate-limit, suspend, or terminate accounts that appear to create security, legal, email, payment, or abuse risk.
Reports of abuse should be sent to abuse@devclouddesk.com with relevant logs, timestamps, hosts, and account details where available.
8. Email and Notifications
DevCloudDesk sends transactional emails only, including account verification, password reset, billing, security, support, and requested infrastructure alert messages.
Where DevCloudDesk uses Amazon SES or any other email provider, that email capability is reserved for DevCloudDesk-controlled transactional messages. Customers are not granted SMTP relay, bulk email, marketing campaign, mailing-list, or arbitrary outbound email rights.
Customers may not use DevCloudDesk, its agents, alerts, automations, integrations, or connected infrastructure to send spam, unsolicited marketing, harvested-list messages, phishing content, mailbombing traffic, spoofed messages, or messages that violate email-provider policies. We may suspend related features or accounts immediately if we detect email abuse risk.
9. Payments, Billing, and Refunds
If you purchase a paid plan:
- Fees are billed in advance (monthly or yearly)
- Prices, taxes, currency, limits, and renewal terms are shown at checkout or in the billing page
- Payments may be processed by Razorpay, Stripe, or another listed payment provider
- You authorize us and our payment providers to charge the selected payment method for subscriptions, renewals, taxes, add-ons, and usage-based charges where applicable
- Failure to pay may result in suspension or termination of your account
Refund eligibility, refund windows, cancellation effects, non-refundable cases, and dispute handling are governed by our Refund and Cancellation Policy. Unless that policy states otherwise, subscription fees are non-refundable after the refund window closes and partial-month credits are not guaranteed.
Taxes, payment-provider fees, foreign-exchange charges, bank charges, and card-network charges may be non-refundable where the law or provider rules do not permit reversal.
We reserve the right to change pricing, plan limits, features, and billing terms with reasonable notice. Continued use after the effective date means you accept the updated commercial terms.
10. Free Plan Usage
Free plans may include limitations such as:
- Restricted number of servers
- Limited features or usage
- Performance or access restrictions
We may modify or discontinue free plans at any time.
11. Intellectual Property
All content, software, design, and branding of the Service are owned by us or licensed to us.
You may not:
- Copy, modify, or distribute our platform
- Reverse engineer or attempt to extract source code
- Use our branding without permission
12. Data and Privacy
We take reasonable measures to protect your data. However:
- We do not guarantee complete security
- You are responsible for safeguarding your credentials

13. Third-Party Services
Our platform may integrate with third-party services.
We are not responsible for:
- Third-party tools or services
- Their performance, security, or availability
Your use of third-party services is subject to their terms. Payment, email, hosting, cloud, repository, analytics, support, and monitoring providers may process data under their own terms and privacy policies.
14. Suspension and Termination
We may suspend or terminate your account if:
- You violate these Terms
- You engage in harmful or illegal activities
- Your usage poses a security, legal, payment, email, infrastructure, or abuse risk
- A payment fails, is reversed, is disputed, or appears fraudulent
You may stop using the Service at any time. Cancellation and refund rights are described in the Refund and Cancellation Policy. We may preserve account, billing, security, and abuse records where required for legal, tax, dispute, or security purposes.
15. Disclaimer of Warranties
The Service is provided "as is" and "as available".
We make no warranties regarding:
- Availability or uptime
- Accuracy or reliability
- Security of your systems
- Third-party service performance, payment-provider availability, email delivery, or connected infrastructure availability
16. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for indirect or consequential damages
- We are not responsible for loss of data, profits, revenue, goodwill, business, security posture, infrastructure access, or business interruption
- We are not liable for damages caused by your connected servers, credentials, agents, scripts, automations, or third-party providers
- Use of the Service is at your own risk
Where liability cannot be excluded, our total aggregate liability for all claims relating to the Service is limited to the amount you paid to DevCloudDesk for the Service in the three months before the event giving rise to the claim, or INR 5,000, whichever is lower, unless applicable law requires otherwise.
17. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or liabilities arising from:
- Your use of the Service
- Your violation of these Terms
- Your misuse of servers or infrastructure
- Your data, credentials, scripts, automations, integrations, email activity, or connected third-party services
- Claims from your customers, users, contractors, cloud providers, payment providers, email providers, or affected third parties
18. Changes to Terms
We may update these Terms at any time. Continued use of the Service after changes means you accept the updated Terms.
19. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India, without regard to conflict-of-law rules.
Subject to applicable law, courts located in Jaipur, Rajasthan, India shall have exclusive jurisdiction over disputes relating to these Terms, billing, refunds, account access, or the Service.
